(the"Company") hereby informs that pursuant to resolution no. 4 of theExtraordinary General Meeting of the Company convened on 29 December2025 (the "EGM"), the EGM resolved to dismiss Mr Józef Birka from theposition of Member of the Company's Supervisory Board.Concurrently,on 29 December 2025, the EGM adopted resolutions no. 5, 6, 7, 8 and 9,pursuant to which the following persons were appointed to theSupervisory Board of the Company:i)Ms Aleksandra Żak to the position of Vice Chair of the Supervisory Board;ii)Mr Tobias Solorz to the position of Vice Chair of the Supervisory Board;iii)Mr Jarosław Grzesiak to the position of Member of the Supervisory Board;iv)Ms Marta Poślad to the position of Member of the Supervisory Board; andv)Mr Piotr Muszyński to the position of Member of the Supervisory Board.Curriculavitae of appointed Members of the Supervisory Board of the CompanyAleksandraŻakbrings extensive leadership and management experienceacross the conservation, media, and nonprofit sectors.Shestudied in the United Kingdom, graduating with a degree in psychologyfrom the University of Warwick and a master's degree in conservationfrom University College London (UCL). During her studies, she developedan interest in renewable energy sources.Sheis one of the initiators of the "green" course of the Polsat Plus Groupand the ZE PAK Group, which is currently being implemented in the formof green energy production and a move away from fossil fuel energyproduction.In 2009, she went to Africa, where she served as amanager in a nature conservation project and was one of the founders ofone of the largest national mobile veterinary units. During her stay inAfrica, she also managed a tourism company employing several dozenpeople. She has experience in organizing large projects and operations.Sheworked in the media at Discovery Communications, while continuing herwork in nature conservation. Aleksandra Żak currently holds a seniormanagement position as a Board Member of a key non-profit organizationin the United States, which she founded and personally leads.AleksandraŻak is not engaged in any activities competitive to Cyfrowy Polsat S.A.and is not entered in the Register of Insolvent Debtors maintained bythe registry court.Tobias Solorzhas extensiveprofessional experience in telecommunications, finance, and controlling.He began his career in 2003 at Telewizja Polsat Sp. z o.o. From 2007 to2008, he served as Promotion Manager at Cyfrowy Polsat S.A., and between2008 and 2010 he was a Member of the Management Board at Sferia S.A.,where he was also responsible for marketing, advertising, sales, andoperations until March 2011.InNovember 2011, he joined the Management Board of Polkomtel Sp. z o.o.,the operator of the Plus mobile network, where he served as President ofthe Management Board from February 2014 to March 2019. From 2014 to2019, he was also associated with Cyfrowy Polsat S.A., initially as aMember of the Management Board, later as Vice President (from December2014), and from 2016 to 2019 as President of the Management Board.Between2019 and 2024, Tobias served on the Supervisory Boards of Polkomtel Sp.z o.o. and Telewizja Polsat Sp. z o.o.; from 2020 to 2024 he was amember of the Supervisory Board of Grupa Interia Sp. z o.o.; from 2021to 2024 - of Cyfrowy Polsat S.A.; and from 2022 to 2024 - of Netia S.A.He has also held supervisory roles within the ZE PAK Group, including atZE PAK S.A., PAK Polska Czysta Energia Sp. z o.o., and selectedsubsidiaries. From 2012 to 2021, he served as Managing Partnerof Greenberg Traurig in Poland, and earlier, from 1999 to 2012, asManaging Partner of Dewey _ LeBoeuf's Warsaw office. He began his careeras Legal Director for PepsiCo, Inc. in Poland and Central and EasternEurope (1995-1999).Between2021 and 2024, he was Chief Executive Advisor at Polsat Plus Group andZE PAK Group and a member of the supervisory boards of companies withinthese groups, including Cyfrowy Polsat, Polkomtel, Telewizja Polsat,Netia, Interia, Port Praski, PAK-Polska Czysta Energia, ZE PAK, and PGEPAK Energia Jądrowa. He also serves on the boards of TiVi Foundation andSolkomtel Foundation in Liechtenstein.Forhis contribution to the development of the Polish economy and capitalmarket, he was awarded the Gold Cross of Merit. He was named "Lawyer ofthe Thirty Years" by Rzeczpospolita and the Polish Association of LegalEmployers (2018) and recognized as "Dealmaker of the Week" by AmericanLawyer (2011). For over 15 years, leading international and Polish legalrankings such as Chambers and Partners, IFLR, Legal 500, andRzeczpospolita have ranked him among Poland's top lawyers in M_A,capital markets, private equity, and banking and finance.JarosławGrzesiak is a member of the Board of Directors of the Atlantic Council,Young Presidents' Organization - Gold, and the American Chamber ofCommerce.He graduated fromthe Faculty of Law at Jagiellonian University and has been anattorney-at-law since 1995 (inactive since 2021).JarosławGrzesiak is not engaged in any activities competitive to Cyfrowy PolsatS.A. and is not entered in the Register of Insolvent Debtors maintainedby the registry court.Marta Pośladhas over 15 yearsof experience in management roles across public policy and digitaltransformation. She joined Google in 2012 as part of the Public Policyand Government Relations team. Prior to her current role, she ledGoogle's Privacy and Security Policy across Europe, the Middle East, andAfrica, based in the company's London office. Since 2016, she has servedas Director of Public Policy and Government Affairs for Central _Eastern Europe and Transatlantic and is a member of Google's localmanagement team.She has beenelected to the Board of Directors of the American Chamber of Commerce(AmCham) in Poland for three consecutive terms.
