Fjord Defence Group ASA – New share capital registered
Oslo, 29 December 2025
Reference is made to the stock exchange announcement made by Fjord Defence Group ASA (the "Company") on 18 December 2025 regarding the extraordinary general meeting in the Company (the "EGM"), including the resolution by the EGM to increase the Company's share capital in connection with the issuance of 13,333,333 new shares in the Company in the private placement successfully placed on 27 November 2025 (the "Private Placement").
The share capital increase pertaining to the issuance of shares in the Private Placement has been registered with the Norwegian Register of Business Enterprises:
• Share capital (new): NOK 460,165,255.20
• Total number of shares (new): 54,781,578 shares
• Par value of each share: NOK 8.40
Settlement of the shares allocated to investors in the Private Placement took place on 22 December 2025 on a delivery versus-payment (DVP) basis, with existing shares in the Company admitted to trading on Euronext Oslo Børs facilitated by a share lending agreement between the Company, the managers in the Private Placement and certain large existing shareholders in the Company. The new shares in the Private Placement will be issued to the Pareto Securities AS, acting as settlement agent on behalf of the managers in the Private Placement, for the purpose of settling the share loan.
