DIRECTORATE CLARIFICATION

JD Sports Fashion Plc ('JD' or the 'Group') today provides an update on AGM voting results announced on 27th June 2023 related to resolution 10 and the re-election of non-executive director and member of the Remuneration Committee, Mahbobeh Sabetnia.

Following the voting results, the Group committed to engaging with shareholders to understand any ongoing concerns around Mahbobeh's re-election. Having reviewed the matter, JD wishes to clarify the situation.

It is the Board's belief that the votes on this resolution were influenced by a perceived low attendance of Mahbobeh at Remuneration Committee meetings. The Board can confirm that this perception was not correct. Her appointment was only for part of the year in question and during that time there was only one meeting of the Remuneration Committee. This meeting was convened at short notice and she was unable to attend due to a pre-existing meeting.

The Group is satisfied that Mahbobeh has acted in accordance with the requirements of her position as a non-executive director and member of the Remuneration Committee, and that her attendance at Remuneration Committee meetings has been 100% so far this financial year.
