CA Immobilien Anlagen AG: Core shareholder calls for distribution of special dividends

Motion of the core shareholder to convene an Extraordinary General Meeting to distribute special dividends totaling EUR 5.00 per share issued, to be paid in two tranches of EUR 2.50 per share in December 2021 and March 2022.

Today, the Management Board of CA Immobilien Anlagen Aktiengesellschaft received a request from the core shareholder SOF-11 Klimt CAI S.à r.l. to convene an Extraordinary General Meeting pursuant to Section 105 (3) of the Austrian Stock Corporation Act (AktG) for the purpose of adopting a resolution on the distribution of special dividends totaling EUR 5.00 per issued share.

According to the proposed resolutions, the distributions are to be made in two tranches: A first unconditional special distribution ("basic additional dividend") in the amount of EUR 2.50 per issued share is to be paid to shareholders on December 15, 2021. A second special distribution ("super dividend") in the amount of also EUR 2.50 per issued share is to be conditionally resolved and paid out to shareholders on March 15, 2022. The entitlement to the super dividend and payment thereof are subject to the condition precedent that no legally mandatory distribution restriction is effective or applicable and that the Company has sufficient liquidity for the distribution of the super dividend on the dividend payment date.

The Management Board will convene an Extraordinary General Meeting of CA Immobilien Anlagen Aktiengesellschaft in a timely manner after consultation with the Supervisory Board.
