EUROPEAN METALS HOLDINGS LIMITED

ISSUE OF PERFORMANCE RIGHTS

European Metals Holdings Limited (ASX & AIM: EMH, NASDAQ: ERPNF) ("European Metals" or the "Company") advises that is has today completed the issue of a total of 5,700,000 unlisted Performance Rights.

2,400,000 Performance Rights were issued to Mr. Keith Coughlan, Executive Chairman, and 1,200,000 Performance Rights were issued to Mr. Richard Pavlik, Executive Director, in accordance with the terms and conditions approved by shareholders at the Company's annual general meeting held on 17 December 2020 and as announced on 7 December 2020.

The Performance Rights are subject to certain vesting conditions and terms and conditions as set out in the announcement on 7 December 2020 and the Addendum to Notice of Annual General Meeting posted to shareholders on 7 December 2020.

2,100,000 were issued to staff and consultants on the same terms and conditions in accordance with the Company's Employee Securities Incentive Plan.

Following the above issues: Mr. Coughlan holds an interest in 9,350,000 ordinary shares (represented by depository interests) and 2,400,000 Performance Rights in the Company, and; Mr. Pavlik holds an interest in 300,000 ordinary shares (represented by depository interests) and 1,200,000 Performance Rights in the Company
