Drillisch AG
Ad-hoc-announcement transmitted by DGAP. The issuer is solely responsible for the content of this announcement. ——————————————————————————– Drillisch AG Acquires Mobile Communications Service Provider VICTORVOX AG; EBITDA Guidance 2003 Raised by 4.1 Million Euros to 12 Million Euros Drillisch AG, listed in the Prime Standard segment of the Frankfurt Stock Exchange’s regulated market, has acquired all the shares of the Krefeld-based service provider VICTORVOX AG. With today’s closing, 100% of VICTORVOX stock has now been assigned to Drillisch AG. The parties have agreed not to discuss the purchase price. VICTORVOX AG has a staff of 293 employees and posted sales revenues of 297 million euros in 2002. Following this acquisition, Drillisch AG counted 1.5 million mobile subscribers as at 30 September 2003, now making it the number four among German service providers with a market share of about 9 percent. This purchase, and the related transfer of stock to Drillisch AG, sets the stage for consolidating VICTORVOX AG within the Drillisch Group for the months of November and December 2003. The initial consolidation will significantly improve the Drillisch Group’s sales revenues and EBITDA in 4th quarter. The previous EBITDA guidance of 7.9 million euros for the Drillisch Group in 2003 (not including the consolidation of VICTORVOX AG) has been increased to 12 million euros in light of these two pending months of consolidation. end of ad-hoc-announcement (c)DGAP 25.11.2003 ——————————————————————————– WKN: 554550; ISIN: DE0005545503; Index: Listed: Geregelter Markt in Frankfurt (Prime Standard); Freiverkehr in Berlin- Bremen, Düsseldorf, Hannover, München und Stuttgart 251721 Nov 03
