Sub: Annual General Meeting (AGM) - Notice of 90th AGM, Annual Report 2020-21, Intimation of Book Closure and e-voting related matters

Dear Madam/ Sir,

The 90th AGM of the Bank will be held on Friday, July 09, 2021 at 11 a.m. IST through Video Conferencing / Other Audio-Visual Means. In accordance with circulars issued by Ministry of Corporate Affairs (MCA)/SEBI, shareholders will be able to attend and participate in the AGM only through VC / OAVM.

The Annual Report and the Notice of 90th AGM are uploaded on the Bank's website, https://www.federalbank.co.in/shareholder-information and on the website of National Securities Depository Limited (NSDL) https://www.evoting.nsdl.com.

The Register of Members and the Share Transfer Books of the Bank shall remain closed from July 03, 2021 to July 09, 2021 (both days inclusive). Details of the book closure are as follows:

The Bank is providing electronic voting facility to its members to exercise their right to vote by electronic means on any or all the items of business as set out in the Notice, through National Securities Depository Limited, (NSDL) e-voting platform, which will commence on Tuesday, July 06, 2021 at 9:00 am and ends on Thursday, July 08, 2021 at 5:00 pm. The e-Voting module will be disabled after 5 p.m. on Thursday, July 08, 2021. The members who have not cast their votes by remote e-voting can exercise their voting rights through the e-voting system during the AGM. A person, whose name is recorded in the Register of Members or in the Register of Beneficial Owners maintained by the Depositories as on cut-off date i.e. Friday, July 02, 2021 only shall be entitled to avail the facility of remote e-voting or e-voting at the meeting.
