Information on the total number of voting rights and shares of the share capital as at Monday, May 18th 2015

Paris, 20 May 2015, In accordance with Article R 225-73 I of the French Commercial Code, Axway Software (the "Company") hereby informs its shareholders that as at Monday, May 18th 2015, the date of publication at the "BALO" of the notice for the general meeting to be held on Monday, June 22nd 2015, the total number of :

• shares is 20,585,091, and
• voting rights including suspended voting rights (gross or theoretical voting rights). This total is the base used for declaring crossing of thresholds by shareholders (as provided for in the final paragraph of Article 223-11 of the General Regulations; the total number of voting rights is calculated according to the total number of shares with voting rights, including shares whose voting rights have been suspended) is35,407,055, and
• exercisable voting rights is 35,377,980.
