Balfour Beatty plc (the "Group" or "Balfour Beatty"), the international infrastructure group, announces that, it has today cancelled 24,175,236 ordinary shares that were previously held in Treasury (the "Treasury Share Cancellation"). 

Following the cancellation of shares on 24 December 2025, the remaining number of ordinary shares in issue will be 492,848,584 each with one vote.

Following the Treasury Share Cancellation, the Group owns no shares in treasury. 

Accordingly, the total number of voting rights in the Company is 492,848,584. This figure may be used by shareholders as the denominator for the calculation by which they will determine whether they are required to notify their interest in, or a change to, their interest in Balfour Beatty plc under the FCA's Disclosure and Transparency Rules.  Any notification to the Company relating to an interest in, or a change to an interest, in the Company under the FCA's Disclosure Guidance and Transparency Rules should be sent by email to [email protected] and [email protected].
