3i Infrastructure plc (the "Company")

Total Voting Rights and Share Placing

Further to the Company's announcement on 3 October 2019 regarding a proposed non pre-emptive placing, 3i Infrastructure plc announces the admission of 81 million New Ordinary Shares to the premium listing segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's Main Market for listed securities which took place at 8.00 a.m. today.

As a result of the share placing, the Company's issued share capital as at 8.00 a.m. on 15 October 2019 consisted of 891,434,010 ordinary shares with voting rights.  Each ordinary share carries the right to one vote in relation to all circumstances at general meetings of the Company. The Company does not hold any ordinary shares in treasury.

The figure of 891,434,010 may be used by shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure and Transparency Rules.
