Van Gansewinkel a finalisé le 14 juillet un accord avec ses prêteurs et ses actionnaires afin de lui donner une nouvelle structure financière.
Cette restructuration a été réalisée par l'intermédiaire d'un échange de dette en capital, réduisant ainsi fortement l'endettement de la société et renforçant ses capitaux propres. Les actuels actionnaires de la société ont transféré leurs titres aux prêteurs à l'issue de l'opération.
Wendel détenait depuis janvier 2006 une participation minoritaire de 8% dans Van Gansewinkel, qu'elle a transférée aux prêteurs à l'issue de l'opération. Wendel a investi entre 2006 et 2011 un total de 63,6 millions d'euros dans la société en capitaux propres et prêt d'actionnaire, dont 30,6 millions ont été remboursés à Wendel durant la même période.
Cette restructuration n'a aucun impact sur l'Actif Net Réévalué de Wendel ni sur ses états financiers 2015.
Van Gansewinkel has finalized on July 14, 2015 the agreement with its shareholders and lenders on a new and sustainable capital structure.
The restructuring has been achieved through a debt for equity swap resulting in significantly reduced debt and strengthening the company's equity. The company's current shareholders transferred their shares to the senior lenders at completion.
Wendel held since January 2006 an 8 % minority stake in Van Gansewinkel. Wendel transferred its shares to the senior lenders at completion of the agreement. From 2006 to 2011, Wendel has invested a total of €63.6m in equity and shareholder loan in Van Gansewinkel, of which €30.6m was returned to Wendel.
This restructuring does not have any impact on Wendel's Net Asset Value nor its 2015 financial statement.
