Contents of the report:

Zabka Group SA with its registered office in Luxembourg (the "Company") informs that on 23 December 2025 it received notifications of transactions from a person discharging managerial responsibilities in the Company, i.e. Ms. Marta Wrochna-Łastowska (Managing Director – Group Chief Financial Officer, member of the Management Committee), and from a person closely associated with her, i.e. Adelfoi Family Foundation, submitted pursuant to Article 19(1) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation), repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC, and 2004/72/EC.

The Notifications are related to the transfer of the Company's shares from Ms. Marta Wrochna-Łastowska to Adelfoi Family Foundation, a person closely associated with Ms. Marta Wrochna-Łastowska, in relation to the settlement of liabilities.
