Contents of the report:

Zabka Group SA with its registered office in Luxembourg (the "Company") informs that on 22 December 2025 it received notifications of transactions from a person discharging managerial responsibilities in the Company, i.e. Mr. Wojciech Krok (Managing Director – Żabka Future, member of the Management Committee), and from a person closely associated with him, i.e. Alexandria Investments S.à r.l., submitted pursuant to Article 19(1) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation), repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC, and 2004/72/EC.

The Notifications are related to the transfer of the Company's shares from Mr. Wojciech Krok to Alexandria Investments S.à r.l., a person closely associated with Mr. Wojciech Krok, following the share purchase agreement.
