Transaction notifications received pursuant to Article 19 of MAR

Legal basis:

Article 19 sec. 3 of MAR - information on transactions carried out bypersons discharging managerial responsibilities and persons closelyassociated with them

Zabka Group SA with its registered office in Luxembourg (the "Company")informs that on 23 December 2025 it received notifications oftransactions from a person discharging managerial responsibilities inthe Company, i.e. Ms. Marta Wrochna-Łastowska (Managing Director - GroupChief Financial Officer, member of the Management Committee), and from aperson closely associated with her, i.e. Adelfoi Family Foundation,submitted pursuant to Article 19(1) of Regulation (EU) No 596/2014 ofthe European Parliament and of the Council of 16 April 2014 on marketabuse (Market Abuse Regulation), repealing Directive 2003/6/EC of theEuropean Parliament and of the Council and Commission Directives2003/124/EC, 2003/125/EC, and 2004/72/EC.

The Notifications are related to the transfer of the Company's sharesfrom Ms. Marta Wrochna-Łastowska to Adelfoi Family Foundation, a personclosely associated with Ms. Marta Wrochna-Łastowska, in relation to thesettlement of liabilities.
