The Management Board ofCyfrowy Polsat S.A. (the "Company") hereby announces thaton 23 December 2025, TiVi Foundation, the Company's dominant entity withits registered office in Liechtenstein, exercising its personal rightunder Article 14(2) of the Company's Articles of Association to appointand dismiss the President of the Management Board of the Company,resolved to dismiss Mr Andrzej Abramczuk from the position of Presidentof the Management Board and appointed Mr Piotr Żak to this role.

Curriculum vitae

Piotr Żak has served asPresident of the Management Board of Telewizja Polsat since January2024.

He holds a degree inEconomics from the University of London and is a graduate of the Facultyof Management at the University of Warsaw.

Since 2014, he has beenengaged in business activities in Poland, focusing on building andsupporting start-up ventures. His professional interests center on themodern technology sector, particularly the creation and development ofinnovative projects leveraging the potential of both online andtraditional media, online entertainment, and data transmission inservices and products for individual and business customers.

From March 2016 to July2024, he served on the Supervisory Board of Telewizja Polsat Sp. z o.o.,and since January 2024 he has held the position of President of theManagement Board of the company. In June 2018, he was appointed to theSupervisory Board of Cyfrowy Polsat S.A., the parent company of thePolsat Plus Group, where he served as Vice-Chairman of the SupervisoryBoard from June 2023 to July 2024.

Between 2018 and 2024, hewas a member of the Supervisory Board of Netia S.A., one of Poland'slargest telecommunications operators, and from 2019 to 2024 served onthe Supervisory Board of Polkomtel Sp. z o.o., the operator of the Plusnetwork. From 2020 to 2025, he sat on the Supervisory Boards of AssecoPoland S.A. and Mobiem Polska Sp. z o.o. Since November 2020, he hasbeen a member of the Supervisory Board of Grupa Interia.pl Sp. z o.o.,and between 2023 and 2025 held supervisory roles in companies within theInteria.pl Group and Liberty Poland. From 2021 to 2025, he served on theSupervisory Board of Asseco Cloud Sp. z o.o., and from 2021 to 2024 heldsupervisory positions in selected special-purpose entities of PortPraski Sp. z o.o. Between 2022 and 2024, he was a member of theSupervisory Board of ZE PAK S.A., and from 2023 to 2024 served on theSupervisory Boards of InterPhone Service, PAK-Polska Czysta Energia, andselected special-purpose entities within PAK-PCE.

Piotr Żak in not engaged inany activities competitive to Cyfrowy Polsat S.A. and is not entered inthe Register of Insolvent Debtors maintained by the registry court.
