EXTRAORDINARY ANNOUNCEMENT

OPUS GLOBAL Nyilvánosan Működő Részvénytársaság (in English: OPUS GLOBAL Public Limited Company) (registered seat: 59 Andrássy street, Budapest 1062, Hungary; company registration number: 01-10-042533; hereinafter referred to as: "Company") hereby informs the Esteemed Investors of the following.

On 22 December 2025, the general meeting of Mészáros és Mészáros Ipari, Kereskedelmi és Szolgáltató Zártkörűen Működő Részvénytársaság (registered seat: 65 Fő street, Felcsút 8086, Hungary; company registration number: 07-10-001584; hereinafter referred to as: "Mészáros és Mészáros Zrt.") as a subsidiary company – which is not obliged to provide regular and extraordinary information, but – included in the consolidation of the Company, has decided on partial division of Mészáros és Mészáros Zrt. (hereinafter referred to as: "Partial Division"). As a result of the Partial Division OPUS-M Tanácsadó Korlátolt Felelősségű Társaság (seat to be registered: 59 Andrássy street, Budapest 1062, Hungary; hereinafter referred to as: "OPUS-M Tanácsadó Kft.") will be formed as a new subsidiary of the Company with the ownership of 100%. Following the Partial Division the ownership of the Company over Mészáros és Mészáros Zrt. will remain unchanged at 51%. The expected date of the Partial Division, when the legal effects of the Partial Division will establish, is the 31st March 2026.
