Extraordinary Announcement

As part of its ongoing supervisory activities, the Hungarian National Bank (head office: 1054 Budapest, Szabadság tér 8-9; branch office: 1122 Budapest, Krisztina körút 6; hereinafter: ˝MNB"), in its Resolution No. H-PJ-III-32/2025. dated 19 December 2025 and received on 22 December 2025, issued the following notice to Gedeon Richter Plc. (˝Company" or ˝Issuer"):

"The MNB warns the Issuer to fully comply at all times with its regular disclosure obligations in order to meet the requirements of the applicable legislation, particularly with respect to the publication of its half-year report for the first half of the financial year in accordance with regulatory provisions."

The above measure was taken because the Company's half-year report for the first half of 2025, published on 6 August 2025, did not include the completeness declarations required by Section 3.4 of Annex 2 of Decree No. 24/2008 (VIII.1,5.) of the Ministry of Finance on the detailed rules of disclosure obligations related to publicly issued securities.

The Company published the corrected half-year report, including the required declarations, on 9 October 2025, and will continue to pay special attention to fulfilling its legal obligations in the future.
