Transaction in Own Shares

Hill & Smith Holdings PLC announces that on the 9 August 2018 the Company purchased through its Broker, Investec, 35,000 ordinary shares of 25 pence each in the Company, at an average price of 1,150 pence per share. These shares will be held as Treasury shares and used to satisfy the vesting of shares to senior non-Board executives under the rules of the Company's 2014 Executive Share Option Scheme.

Following the purchase, the Company holds as Treasury shares 35,000 ordinary shares, representing 0.04% of the total ordinary share capital of the Company.

The issued share capital as at today is 78,912,804 ordinary shares. Treasury shares do not count towards the total number of Ordinary Shares with voting rights.

Therefore the figure of 78,877,804 Ordinary Shares may be used by shareholders of the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
