MINUTES OF THE ANNUAL ORDINARY SHAREHOLDERS' MEETING OF MAY 6, 2016

At the shareholders' meeting held on May 6, 2016, MEMSCAP's shareholders approved unanimously all meeting resolutions.

Shareholders present at the meeting, voting by proxy or by post represented 1 589 250 voting shares (22.35% of the total number of voting shares) and 2 002 132 voting rights (26.49% of the total number of voting rights).
