GROSS VESTING AT THE END OF THE 3 YEAR RESTRICTED PERIOD OF 32% OF THE AWARD MADE BY THE ISSUER IN july 2016 UNDER THE PERFORMANCE AND CO-INVESTMENT PLAN.  THE REMAINING 68% HAS LAPSED.  THE VESTING LEVEL REFLECTS PERFORMANCE AGAINST TWO TOTAL SHAREHOLDER RETURN CONDITIONS (TSR) PLUS SATISFACTION WITH AN UNDERPIN CONDITION RELATING TO THE OPERATIONAL AND ECONOMIC PERFORMANCE OF THE COMPANY.
