Total voting rights

AO World plc announces that as at 31 July 2019, the Company's issued share capital consisted of 477,938,954 ordinary shares of 0.25p each ("Ordinary Shares"). No Ordinary Shares are held in treasury.

The above figure includes 6,055,370 Ordinary Shares which were allotted to the AO World Employee Benefit Trust in order to satisfy awards which vesting under the AO 2019 Employee Reward Plan and the 2014 Performance Share Plan.  These Ordinary Shares were admitted to listing on 22 July 2019.  

Therefore the total number of voting rights in AO World plc as at 31 July 2019 is 477,938,954 and this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in AO World plc under the FCA's Disclosure and Transparency Rules.
