Transactions in shares by Persons Discharging Managerial Responsibilities ("PDMRs")

The following notification and announcement made under article 19 of the Market Abuse Regulation ('MAR') relate to granting of options to PDMRs under the DS Smith 2008 Performance Share Plan ("PSP") and the DS Smith Deferred Share Bonus Plan ("DSBP").

On 15 July 2019 the Company granted in accordance with the provisions of the Company's approved Remuneration Policy the following nil-cost options over Ordinary Shares of 10p each ("Shares") under the terms of the PSP and the DSBP:
