On 1 July 2019, 3i Group plc (the "Company") was notified that on 1 July 2019 Simon Borrows, a Director and person discharging managerial responsibilities, acquired for nil cost 367,692 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award.

Also on 1 July 2019, 3i Group plc (the "Company") was notified that on 1 July 2019 Julia Wilson, a Director and person discharging managerial responsibilities, acquired for nil cost 167,144 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") on the release of a share award and sold 78,725 of these shares at 1111.28p per share to cover tax and National Insurance.

The place of the above transactions was the London Stock Exchange.
