Transactions in shares by Persons Discharging Managerial Responsibilities ("PDMRs")

1 July 2019

On 1 July 2019 nil-cost option awards over the Company's Ordinary Shares of 10p each ("Shares") granted on 1 July 2016 under the terms of the DS Smith 2008 Performance Share Plan ("PSP") and under the DS Smith Deferred Share Bonus Plan ("DSBP") vested to the following PDMRs as shown in the table below.

·      In accordance with the terms of the approved remuneration policy, a two-year holding period applies from the vesting date for Miles Roberts and Adrian Marsh to their PSP awards vesting on 1 July 2019, during which time awarded Shares may not be sold (other than to satisfy statutory deductions).

·      The number of dividend equivalent Shares is added to the vested PSP award on vesting in accordance with the rules of the PSP and the approved remuneration policy.

·      The DSBP awards vesting on 1 July 2019 relate to the deferral into Shares of half of the bonus paid in July 2016 in relation to the financial year 2015/16.
