Transaction in Own Shares

Hill & Smith Holdings PLC announces that on the 23 May 2016 its Employee Benefit Trust ('EBT') purchased through its Broker, Investec, 60,000 ordinary shares of 25 pence each, at an average price of 979.85 pence per share. All of the purchased shares will be used to satisfy the vesting of shares under the Company's 2014 Long Term Incentive Plan.

Following the purchase, the EBT holds 88,346 ordinary shares, representing 0.1% of the total ordinary share capital of the Company.

The issued share capital as at today is 78,540,397 ordinary shares.
