BONDHOLDERS' MEETINGS OF SEPTEMBER 22, 2016

Neuilly-sur-Seine, France, September 7, 2016 – The holders of the following bonds (the "Bonds") of Bureau Veritas S.A. (the "Company") are called to attend general meetings in order to approve the proposed spin-off through asset contributions (apport partiel d'actifs) of the Company's various activities in France:

• bonds issued on May 24, 2012 under the prospectus with visa n°12-220 granted by the Autorité des marchés financiers on May 22, 2012 (ISIN Code: FR0011257260) (the "2012 Bonds");
• bonds issued on January 21, 2014 under the prospectus with visa n°14-016 granted by the Autorité des marchés financiers on January 17, 2014 (ISIN Code: FR0011703776) (the "Bonds 2014").

The meetings of the holders of Bonds (the "Meetings") will be held on Thursday September 22, 2016 (i) at 2:30 p.m. for the holders of 2012 Bonds and (ii) at 3:00 p.m. for the holders of 2014 Bonds, at the registered office of the Company, 67/71 boulevard du Château, 92200 Neuilly-sur-Seine, France.

The notices of meeting (Avis de convocation), including, in particular, the agenda and the draft resolutions proposed by the Board of Directors and which will be presented during the Meetings, and the practical information concerning the Meetings' attendance and voting procedures have been published today in the legal gazettes "Bulletin des Annonces Légales et Obligatoires" n°108 (http://www.journal-officiel.gouv.fr/balo/) and "Les Petites Affiches". These notices are available on the Company's website (www.bureauveritas.com).

The documents and information listed in the legal texts and which must be communicated to these Meetings will be available for the holders of Bonds (i) at the registered office of the Company, 67/71 Boulevard du Château, 92200 Neuilly-sur-Seine, France, (ii) at the office of the paying agent of the Bonds, Société Générale Securities Services, 32 Allée du Stand de Tir, 44312 Nantes Cedex 3, France or (iii) upon simple request to BNP Paribas Securities Services CTS – Assemblées Générales, Grands Moulins de Pantin, 9 rue du Débarcadère, 93761 Pantin Cedex, France.
