WILLIAM HILL PLC ("the Company")

NOTIFICATION OF INTERESTS OF DIRECTORS

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify the following changes in the interests of persons discharging managerial responsibility ('PDMRs') in ordinary shares of 10p each in the Company ('Shares').

James Henderson, Chief Executive Officer of the Company, was awarded 24,401 Shares under the William Hill Executive Bonus Matching Scheme 2013 (EBMS 2013). The award was made in 2013, prior to Mr Henderson's appointment as Chief Executive Officer. On 8 March 2016, the award was exercised at a price of 387.6 pence per Share and sufficient Shares were sold to account for tax and national insurance payable. A balance arose of 12,794 Shares which has been transferred to James Henderson.

All of the above transactions took place in London.

Following the above transactions, the interests of James Henderson in the Company's Share Schemes are as follows:

In the above table, 'EBMS' refers to the Executive Bonus Matching Scheme; 'PSP' refers to the Performance Share Plan; and 'SAYE' refers to the Save As You Earn Sharesave Scheme. These awards have not vested and are subject to either the satisfaction of performance conditions, the completion of a deferral period or in the case of the SAYE, the completion of a savings contract.

James Henderson now has an interest in 114,786 Shares in his own name, equivalent to less than 0.1% of the Company's issued share capital.
