Report Content The Management Board of MBF Group SA with its registered office inWarsaw (the 'Issuer', 'Company') hereby announces that on 18 December2025, the Issuer entered into a a Technology Cooperation,Confidentiality and Non-Circumvention Framework Agreement (the'Agreement').

The Agreement regulates the terms of cooperation between the Parties inthe preparation, development, testing and potential implementation ofthe MALLARD project - an unmanned cargo transport system with increasedrange and payload, intended for civil, specialised and dual-useapplications, including, for example, logistics, rescue and criticalinfrastructure support operations. The Agreement also allows for theprompt transfer of further information regarding the MALLARD-S ('smallMallard') test flights, which were carried out thanks to jointcooperation.

The agreement is of a framework and security nature, and its purpose isto enable further design work and negotiations, the exchange oftechnical information and know-how, and the possibility of preparingjoint product concepts while protecting the interests of both Parties.

Under the agreement, the Parties undertook to maintain theconfidentiality of all technical, organisational, commercial andfinancial information related to the MALLARD project, as well as torefrain from actions leading to circumventing the other Party inrelations with third parties disclosed in the course of cooperation. Thecontractor has been identified as a potential technology partner which,after concluding separate implementation agreements, may participate inselected stages of design, system integration, testing and preparationof the project for certification and implementation.

The agreement has been concluded for a period of 36 months with thepossibility of extension. Each Party may terminate it with three months'notice, with the provisions on confidentiality, non-circumvention andintellectual property rights protection remaining in force after itstermination. The agreement also provides for liability for damages andcontractual penalties in the event of a breach of its key provisions.

In addition, the Issuer's Management Board indicates that the conclusionof the Agreement constitutes a significant step in the process ofbuilding international technological and organisational support for theMALLARD project and increases the possibilities for its furtherdevelopment and commercialisation. At the same time, the Issuer reservesthat future implementation agreements, if they are of a significantnature, will be the subject of separate current reports.

The Company's Management Board considered the information on theconclusion of the Agreement to be confidential within the meaning ofArticle 17(1) of MAR due to its potential significance for theimplementation of the strategic MALLARD project and the furtherdevelopment of the Company's activities in the field of unmannedtechnologies and dual-use systems.
