MAGIS SPA: COMUNICAZIONE AI SENSI DELL'ART. 17 DEL REGOLAMENTO EURONEXT GROWTH MILAN
Cerreto Guidi (FI), 18 dicembre 2025 – Magis S.p.A. ("Magis" o la "Società"), società leader nella produzione di nastri adesivi personalizzati e sistemi di chiusura per il body care di adulti e infanzia, rende noto ai sensi della Disciplina sulla Trasparenza e dell'art. 17 del Regolamento Emittenti Euronext Growth Milan, di aver ricevuto in data odierna da Azimut Libera Impresa SGR S.p.A. in nome e per conto del Fondo IPO Club, comunicazione di aumento della propria partecipazione al di sopra della soglia di rilevanza del 5% del capitale sociale con cambiamento sostanziale della partecipazione avvenuto in data 12 dicembre 2025.
Pertanto, a seguito dell'esecuzione dell'operazione, il suddetto azionista dichiara di detenere n. 343.940 azioni ordinarie Magis S.p.A., pari al 5,91% circa del capitale sociale. Si precisa che la variazione è avvenuta a seguito dell'attribuzione di azioni Magis quale provento di liquidazione da parte della società IPOC 6 S.r.l..
Sulla base, quindi, delle comunicazioni pervenute dagli azionisti e delle informazioni ad oggi a disposizione della Società, detengono una partecipazione superiore al 5% del capitale di Magis S.p.A. i seguenti azionisti:

COMMUNICATION PURSUANT TO ARTICLE 17 OF THE EURONEXT GROWTH MILAN REGULATIONS
Cerreto Guidi (FI), 18 December 2025 – Magis S.p.A. ("Magis" or the "Company"), leading manufacturer of customised adhesive tapes and fastening systems for disposable nappies and adult incontinence products, listed on the EGM market of Borsa Italiana (ticker: MGS), discloses, pursuant to the Transparency Regulations and Article 17 of the Euronext Growth Milan Issuers' Regulations, that today it received notification from Azimut Libera Impresa SGR S.p.A., acting on behalf of the IPO Club Fund, of an increase in its shareholding above the 5% threshold of the share capital, with a substantial change in the shareholding occurring on 12 December 2025.
Therefore, following the execution of the transaction, the aforementioned shareholder declares that it holds 343,940 ordinary shares in Magis S.p.A., equal to approximately 5.91% of the share capital. It should be noted that the change occurred following the allocation of Magis shares as liquidation proceeds by the company IPOC 6 S.r.l..
Therefore, based on the communications received from shareholders and the information currently available to the Company, the following shareholders hold a stake of more than 5% of the share capital of Magis S.p.A.:
