Promise of Sale Agreement – Rabat Exchange

The Company is pleased to announce that it has entered into a Promise of Sale Agreement dated 18 December 2025 (the "Agreement") with Ten21 Ltd., a company registered in Malta, bearing registration number C105051 for the eventual sale of the tenement officially numbered 17-18 in Telghet is-Saqqajja, in Rabat, Malta, currently named the 'Rabat Exchange'. The consideration for the sale and purchase of the property is two million Euro (EUR 2,000,000). The Agreement is valid until the 30 December 2026.

The Company shall provide the public and its stakeholders with further updates as and when necessary.
