Management Consulting Group PLC (the "Company")

Issue of Equity

Management Consulting Group announces that application has been made to the UK Listing Authority and to the London Stock Exchange for the admission to trading of 3,376,976 new Ordinary Shares of 1p each. These shares are being issued as part of the consideration for two small acquisitions which the Company has made. It is expected that admission of these new Ordinary Shares, which will rank pari passu in all respects with the existing Ordinary Shares of the Company, will occur on 13 October 2015.

Following admission, the Company's issued ordinary share capital will consist of 500,427,971 ordinary shares of 1 pence each of which 2,427,620 ordinary shares are held in Treasury. The total number of voting rights in the Company is therefore 498,000,351 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Management Consulting Group PLC under the FCA's Disclosure and Transparency Rules.
