Publication of Prospectus

GLI Finance Limited (the "Company") has today published a prospectus approved by the UK Listing Authority in relation to the introduction of 20,791,418 zero dividend preference shares of no par value each ("ZDP Shares") to the Official List of the UK Listing Authority (by way of a standard listing under Chapter 14 of the Listing Rules) and to the London Stock Exchange's main market for listed securities. The ZDP Shares were first issued by the Company in December 2014 in connection with the acquisition of Sancus Limited and Sancus (Guernsey) Limited.

It is expected that the admission of the ZDP Shares will become effective, and dealings on the London Stock Exchange will commence, at 8:00 a.m. on Monday, 5 October 2015.

A copy of the prospectus will shortly be available for inspection at http://www.morningstar.co.uk/uk/NSM. Copies of the prospectus are also available in electronic form on the Company's website at http://www.glifinance.com/ and are available for collection during normal business hours on any day (Saturday, Sunday and public holidays excepted) until 21 October 2015 from the registered office of the Company at Sarnia House, Le Truchot, St Peter Port, Guernsey GY1 4NA.
