WILLIAM HILL PLC ("the Company")

NOTIFICATION OF INTERESTS OF DIRECTORS

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify the following changes in the interests of persons discharging managerial responsibility ('PDMRs') in ordinary shares of 10p each in the Company ('Shares').

Neil Cooper, Group Finance Director, was awarded 192,965 Shares under the William Hill Performance Share Plan 2012 (PSP 2012). On 18 March 2015, the award was exercised at a price of 382.9 pence per Share and sufficient Shares were sold to account for tax and national insurance payable. A balance arose of 101,180 Shares which has been transferred to Neil Cooper.

Neil Cooper was awarded 114,199 Shares under the William Hill Executive Bonus Matching Scheme 2012 (EBMS 2012). On 18 March 2015, the award was exercised at a price of 383.1 pence per Share and sufficient Shares were sold to account for tax and national insurance payable. A balance arose of 59,879 Shares which has been transferred to Neil Cooper.

All of the above transactions took place in London.

Following the above transactions, the interests of Neil Cooper in the Company's Share Schemes are as follows:

In the above table, 'EBMS' refers to the Executive Bonus Matching Scheme; 'PSP' refers to the Performance Share Plan; and 'SAYE' refers to the Save As You Earn Sharesave Scheme. These awards have not vested and are subject to either the satisfaction of performance conditions, the completion of a deferral period or in the case of the SAYE, the completion of a savings contract.

Neil Cooper now has an interest in 568,861 Shares in his own name, equivalent to less than 0.1% of the Company's issued share capital.
