WILLIAM HILL PLC ("the Company")

NOTIFICATION OF INTERESTS OF DIRECTORS

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify the following changes in the interests of persons discharging managerial responsibility ('PDMRs') in ordinary shares of 10p each in the Company ('Shares').

James Henderson, Chief Executive Officer of the Company (CEO), was awarded 132,029 Shares under the William Hill Performance Share Plan 2012 (PSP 2012). On 9 March 2015, the award was exercised at a price of 380.03 pence per Share and sufficient Shares were sold to account for tax and national insurance payable. The residual balance of 69,228 Shares has been transferred to James Henderson.

James Henderson was awarded 52,090 Shares under the William Hill Executive Bonus Matching Scheme 2012 (EBMS 2012). On 9 March 2015, the award was exercised at a price of 380.03 pence per Share and sufficient Shares were sold to account for tax and national insurance payable. The residual balance of 27,313 Shares has been transferred to James Henderson.

Separately, on 10 March 2015, James Henderson sold 63,038 shares in the Company at a price of 376.59 pence per Share. This disposal was executed to part fund his permanent relocation required following his appointment to the role of CEO in August 2014.

All of the above transactions took place in London.

Following the above transactions, the interests of James Henderson in the Company's Share Schemes are as follows:

In the above table, 'EBMS' refers to the Executive Bonus Matching Scheme; 'PSP' refers to the Performance Share Plan; and 'SAYE' refers to the Save As You Earn Sharesave Scheme. These awards have not vested and are subject to either the satisfaction of performance conditions, the completion of a deferral period or in the case of the SAYE, the completion of a savings contract.

James Henderson now has an interest in 96,541 Shares in his own name, equivalent to less than 0.1% of the Company's issued share capital.
