Notification of Non-Executive Director Changes

Hill & Smith Holdings PLC announces the following appointment and changes to the constitution of its Board Committees.

Following the appointment of Annette Kelleher to the Board on 1 December 2014, Hill & Smith Holdings PLC formally announces that from 16 December 2014 Ms Kelleher will also be a member of the Audit, Nomination and Remuneration Committees.

In line with best practice, following the appointment of Ms Kelleher to these Board Committees, Bill Whiteley, Chairman of the Company, will step down from the Audit and Remuneration Committees.

Mr Whiteley will continue to be Chairman of the Company and of the Nomination Committee.
