Transaction in Own Shares

Hill & Smith Holdings PLC announces that on the 9 December 2014 its Employee Benefit Trust ("EBT") purchased through its Broker, Investec, 230,000 ordinary shares of 25 pence each, at an average price of 579.39 pence per share. All of the purchased shares will be used to satisfy the vesting of shares under the company's 2007 Long Term Incentive Plan.

Following the purchase, the EBT holds 230,000 ordinary shares or <0.5% of the total ordinary share capital of the company.

The issued share capital as at today is 77,872,107 ordinary shares.
