Notification of Transactions of Directors and

Persons Discharging Managerial Responsibility (PDMRs)

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify that on 6 June 2014, Neil Cooper, Group Finance Director of the Company, purchased 1,105 ordinary shares in the Company at an average price of 350.4 pence per share. These shares were obtained as part of the dividend reinvestment process under the Company's Vested Share Account.

Following the above purchase of shares, Mr Cooper now holds 401,360 ordinary shares in the Company, equivalent to less than 0.1% of the Company's issued share capital.

The Company was informed of the above transaction on 9 June 2014. The transaction took place in London.
