WILLIAM HILL PLC ("the Company")

NOTIFICATION OF INTERESTS OF DIRECTORS

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify the following changes in the interests of persons discharging managerial responsibility ('PDMRs') in ordinary shares of 10p each in the Company ('Shares').

Neil Cooper, Group Finance Director of the Company, was awarded 432,611 Shares under the William Hill Performance Share Plan 2010 (PSP 2010). On 5 June 2014, the award was exercised at a price of 344.2 pence per Share and sufficient Shares were sold to account for tax and national insurance payable. A balance arose of 226,838 Shares which have been transferred to Mr Cooper.

Mr Cooper was also awarded 231,254 Shares under the William Hill Performance Share Plan 2011 (PSP 2011). On 5 June 2014, the award was exercised at a price of 344.9 pence per Share and sufficient Shares were sold to account for tax and national insurance payable. A balance arose of 121,257 Shares which have been transferred to Mr Cooper.

All of the above transactions took place in London.

Following the above transactions, the interests of Mr Cooper in the Company's Share Schemes are as follows:

In the above table, 'EBMS' refers to the Executive Bonus Matching Scheme; 'PSP' refers to the Performance Share Plan; and 'SAYE' refers to the Save As You Earn Sharesave Scheme. These awards have not vested and are subject to either the satisfaction of performance conditions, the completion of a deferral period or in the case of the SAYE, the completion of a savings contract.

Mr Cooper now has an interest in 400,255 Shares in his own name, equivalent to less than 0.1% of the Company's issued share capital.
