WILLIAM HILL PLC ("the Company")

NOTIFICATION OF INTERESTS OF DIRECTORS

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify the following changes in the interests of persons discharging managerial responsibility ('PDMRs') in ordinary shares of 10p each in the Company ('Shares').

Ralph Topping, Chief Executive of the Company, was awarded 660,506 Shares under the William Hill Performance Share Plan 2010 (PSP 2010). On 4 June 2014, the award was exercised to account for tax and national insurance and a further 90,000 Shares were sold at 346.4 pence per Share. A balance arose of 260,068 Shares which has been transferred to Ralph Topping.

Ralph Topping was awarded 396,438 Shares under the William Hill Performance Share Plan 2011 (PSP 2011). On 4 June 2014, the award was exercised to account for tax and national insurance and the remaining Shares were sold at 346.5 pence per Share.

All of the above transactions took place in London.

Following the above transactions, the interests of Ralph Topping in the Company's Share Schemes are as follows:

In the above table, 'EBMS' refers to the Executive Bonus Matching Scheme; 'PSP' refers to the Performance Share Plan; and 'SAYE' refers to the Save As You Earn Sharesave Scheme. These awards have not vested and are subject to either the satisfaction of performance conditions, the completion of a deferral period or in the case of the SAYE, the completion of a savings contract.

Ralph Topping now has an interest in 275,278 Shares in his own name, equivalent to less than 0.1% of the Company's issued share capital.
