Director Shareholdings and Total Voting Rights

Walker Greenbank PLC (AIM: WGB), the luxury interior furnishings group whose brands include Sanderson, Morris & Co, Harlequin, Zoffany, Scion and Anthology, was informed on 22 May 2014 that on 22 May 2014 the under mentioned executive directors sold a proportion of their ordinary shares of 1p each in the Company ("Ordinary Shares"), as vested to them under the Company's Long-Term Incentive Plan, as announced on 20 May 2014.

Of those Ordinary Shares disposed of by the executive directors as set out above, in aggregate 153,436 Ordinary Shares were sold into the market at a price of 183.09p per share and 110,064 Ordinary Shares in aggregate were acquired by the Company's Employee Benefit Trust at the closing mid-market price of 184.5p per share on 22 May 2014 to satisfy future LTIP awards to directors and employees.

The Company's issued ordinary share capital remains at 59,762,559 Ordinary Shares, with each share carrying the right to one vote. The Company does not hold any Ordinary Shares in Treasury, therefore, the total number of Ordinary Shares in the Company with voting rights is 59,762,559.

The above figure of 59,762,559 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
