Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it was notified on 27 March 2014 that Mr J C Humphreys, a person discharging managerial responsibilities of Hill & Smith, sold 6,000 ordinary shares in the Company at 547.25 pence per share. The transaction was effected on the London Stock Exchange.

Following the above, Mr Humphreys is beneficially interested in 4,902 ordinary shares in the Company and holds options over 15,000 Ordinary Shares under the Company's 2005 Executive Share Option Scheme.
