Notification of Transactions of Directors and

Persons Discharging Managerial Responsibility (PDMRs)

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify that on 6 December 2013, Ralph Topping, Chief Executive of the Company, purchased 1,723 ordinary shares in the Company at an average price of £3.8194 per share. These shares were obtained as part of the dividend reinvestment process under the Company's Vested Share Account.

Following the above purchase of shares, Ralph Topping now holds 180,495 ordinary shares in the Company.
