Court judgment approving a settlement agreement regarding motions to disclose documents for considering ling a derivative action

Derivative action and motion for approval of a derivative action

Further to the Company's immediate reports dated March 5, 2020 (reference no.: 2020-01-018706), and June 5, 2023 (reference no.: 2023-01-052645), and as described in Section 2.18.1(g) and Footnote 30 to the chapter 'Description of the Corporation's Business' in the Company's periodic report for 2024, regarding two motions (which were consolidated) for the disclosure of documents for the purpose of considering ling a derivative action [regarding the exercise of the Company's rights against ocers in connection with the Competition Authority's decision on September 4, 2019 regarding the Company's abuse of its position in the area of infrastructure], and also regarding a motion for approval of a derivative action [concerning nes imposed on the Company by the Ministry of Communications regarding the implementation of the wholesale market reform]—on December 17, 2025, a court judgment was issued approving a settlement agreement in these cases, pursuant to which approximately NIS 3.4 million will be paid to the Company by the Company's ocers' insurance, out of which the Company shall pay an award, legal fees, and deductible. The settlement fully and nally resolves all the Company's claims regarding the nes imposed by the Ministry of Communications and the Competition Authority, and the payment of the compensation will be deemed full and nal settlement of all claims and any damage caused to the Company, if any, due to the events that led to the imposition of the nes by the Ministry of Communications and the Competition Authority.
