Mountfield Group plc (the "Group")

Results of Annual General Meeting ("AGM")

The Directors of the Group are pleased to announce that at the AGM of the Group held earlier today all the resolutions set out in the Notice of the AGM were passed, including those granting the Directors authority to issue new shares for the placing which was announced on 26 July 2013. Admission of the placing shares is expected to occur on 31 July 2013.

The Directors also announce that Tom Spanner, who did not seek re-election as a Director of the Group, ceased to be a member of its board with effect from this date. The Directors intend to appoint a suitable replacement Non-Executive Director as soon as is practicable.
