Re: SAPIENS INTERNATIONAL CORPORATION N.V - Reminder ("The Company")

Further to our circular dated December 15, 2025, trading in the company's shares on NASDAQ was halted yesterday, December 16, 2025, immediately after the after-hours session, in light of the anticipated merger between the Company and Advent International LP, which is tentatively scheduled to close prior to market open on December 17, 2025.

Accordingly, today, December 17, 2025, trading in the company's shares has also been halted on the Tel Aviv Stock Exchange.

If the merger is completed as described above, trading in the company's shares will not be resumed, and they will be delisted according to a schedule that will be published separately.
