Publication of Prospectus

Further to the announcement made on 30 April 2019 by Alpha Growth plc (the "Company") relating to its placing (the "Placing Announcement"), the Company is pleased to announce that the Prospectus has been approved by the Financial Conduct Authority and has been published.

As an update to the matters noted in the Placing Announcement, the Company is pleased to announce an increase in the number of shares in the placing, with gross proceeds now at £456,000.  The total number of placing shares to be admitted to trading is 30,400,000 and admission of the placing shares is expected to take place at 8.00 a.m. on Wednesday May 15 2019 ("Admission").

As at the date of this announcement, the Company's issued share capital is 126,635,000 ordinary shares.  On Admission, the Company's issued share capital will consist of 157,035,000 ordinary shares.  The Company does not hold any Ordinary Shares in Treasury. The total voting rights from Admission will therefore be 157,035,000 shares. This figure above may be used by shareholders as from 15 May 2019 as the denominator for the calculations by which they determine if they are required to notify their interest in, or change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
