Director/PDMR Dealing

Ondo InsurTech Plc (LSE: ONDO), a leading company in claims prevention technology for home insurers, confirms that pursuant to the Company's announcement on 5 December 2025, Mark Wood (Non-Executive Chairman), Craig Foster (Chief Executive Officer), Kevin Withington (Chief Financial Officer), James Quin (Non-Executive Director) and Greig Paterson (Non-Executive Director) have participated in the Placing, details of which were announced on 4 December 2025, for an aggregate of 440,000 Placing Shares.

In addition, the Company has been informed by Fiduchi Trustees Limited (UK) (the "SIP Trustee") that on 2 December 2025 the SIP Trustee purchased 13,992 Ordinary Shares for the benefit of participants of the Ondo Share Incentive Plan (the "SIP"). 

The SIP is an approved all-employee trust, under which participating employees acquire Ordinary Shares at the prevailing market using contributions deducted from pre-tax salary in each calendar month ("Partnership Shares"), with each participating employee also being awarded one Ordinary Share for each Partnership Share ("Matching Shares") also acquired by the SIP.  The beneficiaries of the SIP include Craig Foster and Kevin Withington who were each received 486 Partnership Shares and 486 Matching Shares Aat a price of 30.9p.

Following Admission of the Placing Shares and the SIP share purchases, the interest of the Directors' interests are now as set out below.

The Company also announces that it has received notice that warrants over a further 1,251,507 Ordinary Shares have been exercised, issued and allotted and have admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange under the Company's block listing authority. 

The Company's issued share capital now comprises of 149,898,093 Ordinary Shares.  The Company holds no shares in treasury.
