Voting Rights and Capital

In conformity with Regulation 20 of the Transparency (Directive 2004/109/EC) Regulations 2007, Greencore notifies the market of the following:-

As of today's date, Greencore's issued ordinary share capital consists of 393,253,101 ordinary shares with voting rights.  Each of these ordinary shares carries one vote.  In addition, Greencore holds 3,904,782 ordinary shares as treasury shares with no voting rights.  The total number of voting rights, is therefore, 393,253,101.

The above figure (393,253,101) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Greencore under Transparency (Directive 2004/109/EC) Regulation 2007 and the Rules of both the Irish Financial Services Regulatory Authority and the UK Financial Services Authority.

Furthermore, on 14 December, 2012 the company cancelled 384,815,847 shares of €0.01 cent each, which were held as deferred shares in the capital of the company.
