Re: SAPIENS INTERNATIONAL CORPORATION N.V

("The Company")

The Company has brought to the TASE's attention an announcement published by NASDAQ, according to which, in light of the anticipated merger between the Company and Advent International LP, which is tentatively scheduled to close prior to market open on December 17, 2025, trading in the Company's shares on NASDAQ will be halted immediately following the after-hours session December 16, 2025 (7:50 P.M. - New York time).

In light of the above, trading in the Company's shares on the Tel Aviv Stock Exchange will also be halted on Wednesday, December 17, 2025.

If the merger is completed as described above, trading in the Company's shares will not be resumed and they will be delisted for trading according to a schedule that will be published separately.
