SANTANDER UK PLC

(formerly, Alliance & Leicester plc)

(the "Issuer")

£300,002,000 Series A Fixed/Floating Rate Non-Cumulative Callable Preference Shares

(the "New Santander UK Preference Shares")

ISIN: XS0502105454

NOTICE HAS BEEN GIVEN to the holders of the New Santander UK Preference Shares that, in accordance with paragraph 4 (Redemption) of Part IV of the Prospectus dated 12 March 2010, the Issuer will redeem the outstanding New Santander UK Preference Shares in whole, but not in part, at a price per New Santander UK Preference Share equal to the aggregate of £1,000 per New Santander UK Preference Share and any Preference Dividends accrued since the immediately preceding Preference Dividend Payment Date, on 24 May 2019 (the "Redemption Date"), having obtained the consent of the Prudential Regulation Authority for such redemption. The Issuer will also request the cancellation of the listing of the New Santander UK Preference Shares on the London Stock Exchange with effect on and from the Redemption Date.
